[A] Budget: Looking for proposal
[B] Scope of Service:
Vendor needs to provide bond counsel services to the government authority located in Little Rock, AK.
- Provide counsel to the city on any and all legal matters pertaining to the short-term financing or the issuance of the limited tax obligation bonds.
- Prepare all required legal documents until the short-term financing issues and are closed.
- Prepare all required legal documents until the limited tax general obligation bond issue(s) are closed, including, but not limited to, development with the city attorney of an ordinance or ordinances to be referred to the citizens for approval.
- Consult with city representatives regarding structuring of the short-term financing and bond issue(s), timing and method(s) of sale, and other matters that could be economically beneficial to the city.
- Event of a public sale, bond counsel shall serve in a joint effort with the city to prepare the notice of sale, official statement, and other required documents to market the bonds, and to contract with service providers for printing and delivery of bonds.
- Event of a negotiated sale, bond counsel shall prepare agreed upon documentation and coordinate with the underwriter’s counsel, if any. Related expenses will be borne by the city.
- Accept responsibility for meeting the required publication deadlines.
- Issue an opinion concerning matters relating to the financing as agreed upon with the city.
- Provide any materials needed, such as a proposed engagement letter, and attend all city board of director meetings as required.
- Provide any material needed for bond rating agency hearings and attend meetings as required.
- Provide assistance as needed in selection of a registrar and paying agent, and preparation of any documents required by the registrar.
- Work closely with the underwriter(s) and city staff to evaluate various funding options which best meet the needs of the city and effect the issuance of the bonds in a cost-effective manner.
- Participate with the city in any litigation against the short-term financing and bond issue(s) to the extent determined to be necessary upon the advice of the city attorney.
